These Terms of Use (“Terms”) are a legal agreement between you and Berryhill Consulting LLC(“Rekonix Lite,” “we,” “us,” or “our”) governing lite.rekonix.com(the “Service”). By signing in, purchasing a packet, or using the Service, you agree to these Terms.
1. Eligibility and accounts
- You must be at least 18 and able to form a binding contract.
- If you use the Service for a business, you represent that you can bind it to these Terms.
- Sign-in is by a one-time code sent to your email address, or by a password you choose to set. You are responsible for the security of that mailbox and for activity under your account. Notify us promptly of suspected unauthorized use.
2. The Service
You upload bank, credit-card and loan statements for a business and a period of up to twelve months, as PDF statements or as CSV, Excel or QBO/QFX/OFX exports. The Service reads the statements, checks each read against the balances printed on the statement (or, for an export, against the balances you type for the year), lets you review and change the category of every transaction, and produces a Balance Sheet and a Profit and Loss as a packet. The reports are prepared on a cash basis from the statements you provide, plus the fixed assets and depreciation you choose to add. The Service is not a general ledger, a bookkeeping service, or a tax return.
3. Pricing, payment and refunds
- A packet is a one-time purchase at the price shown before you pay. There is no subscription and nothing renews.
- Uploading and previewing are free up to the limits shown in the Service; payment unlocks the finished reports and the packet email.
- Optional lines are priced where they are offered: an additional account, an additional year of the same business, and, for an account with a firm profile, firm branding of a packet ($15 per packet, section 9).
- Payment is processed by Stripe. By purchasing you authorize the charge to the payment method you enter with Stripe.
- Because the whole packet is shown before you pay, a purchase is generally final once the packet has been downloaded or emailed. If the packet is wrong for a reason on our side, write to support and we will put it right or refund it. Other requests are considered individually. Please email support before disputing a charge with your card issuer.
- Price changes apply prospectively and do not alter a completed purchase.
4. Your responsibilities and the data you submit
You are responsible for the accuracy, completeness, legality and source of the statements and other information you submit, for having the right to submit them, and for reviewing the categorization and the reports before relying on them. Statements may contain information about other people; you represent that you have provided any required notices and obtained any rights needed to process it.
5. Your Data
- You own Your Data. As between you and us, you retain rights in the statements, information and reports in your account (“Your Data”).
- You authorize us to host, copy, process, transmit and display Your Data only as needed to provide, secure, maintain and support the Service, to comply with law, to follow your instructions, and as described in the Privacy Policy.
- We keep the statement files you upload for twelve months from upload, or until you delete them if you choose to keep them longer, and may use them, within Rekonix only, to read your statements again and to test improvements to how statements are read, unless you turn that use off for a packet (the files are then deleted once that packet is downloaded). The Privacy Policy says how.
- We may create aggregated or deidentified information to operate, secure, measure and improve the Service, provided we do not attempt to reidentify it.
- We do not sell Your Data, use it for cross-context behavioral advertising, or use it to train general-purpose AI models.
6. AI-assisted reading and categorization
Statements are read and transactions categorized by one or more third-party document-processing models. The providers we use are listed on the Subprocessors page; we may add, switch between or replace providers, for example to keep the Service available, and that page is updated before a new provider begins processing. Each provider receives statement content only to produce the extraction and categorization, under terms that prohibit training on your content. Every read is checked against the statement’s printed balances and flagged when it does not tie; categories are suggestions until you confirm them. Outputs can be incomplete or wrong and are not authoritative. You must review them before relying on a report for any filing, financing, sale or other decision.
7. Accounting, tax and professional responsibility
Rekonix Lite is software, not an accountant, auditor, tax preparer, attorney, or financial adviser. The reports it produces are tools, not professional advice or a guarantee of accuracy or compliance. You are responsible for your books, elections, filings and professional review.
8. Acceptable use
You must not:
- Use the Service unlawfully, fraudulently, or to violate another person’s rights.
- Attempt to access another account’s packets, bypass security, rate or purchase controls, or test security without written authorization.
- Upload malware, unlawfully obtained statements, or data you are not permitted to process.
- Interfere with the Service, overload it, scrape it, or reverse engineer it except to the limited extent applicable law cannot prohibit.
- Offer the Service itself to the public under your own name, or white-label it, without a written agreement with us. Preparing packets for your own clients under section 9 is not this.
9. Firms and preparers
A bookkeeping, tax or accounting firm may use the Service to prepare packets for its clients and may charge its clients for them as it sees fit. On a packet the firm brands with its name and logo, the firm is the preparer: it is solely responsible for its own professional standards, engagement letters, and any legend or wording those standards require on statements it issues. By uploading a client’s statements the firm represents that it has the client’s authority to do so and has given the client any notice the law requires. Rekonix Lite is not a party to the engagement between a firm and its client, and the firm’s account, sign-in, receipts and this site remain Rekonix Lite’s.
10. Intellectual property and feedback
The Service, excluding Your Data, is owned by Berryhill Consulting LLC and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to use it under these Terms. If you provide feedback, you grant us a perpetual, worldwide, royalty-free right to use it without identifying you. If you add a logo to a packet, you represent that you may use it.
11. Security and confidentiality
We use the safeguards described in the Privacy Policy. You must protect the mailbox that controls your sign-in and anything you download. Each party will protect the other party’s nonpublic confidential information using reasonable care and use it only for the relationship, except when disclosure is authorized or legally required.
12. Service changes and availability
We may improve, replace or discontinue functionality and will give reasonable notice when a material change adversely affects something you paid for, unless urgent security, legal or provider action prevents it. We do not promise uninterrupted or error-free operation.
13. Suspension and termination
We may suspend access when reasonably necessary to address a security threat, unlawful use, material breach, payment failure, provider requirement or legal order, and will limit the suspension and notify you where practicable. You may stop using the Service at any time and request account closure at support@rekonix.com. Download reports you need before closure. After verified closure we delete or deidentify Your Data under the Privacy Policy, except records retained for legal, tax, accounting, fraud-prevention, dispute or security purposes.
14. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without express, implied or statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, security or availability. Some jurisdictions do not allow certain exclusions, so they may not apply to you.
15. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or lost profits, revenue, goodwill or data. Our total aggregate liability arising from the Service will not exceed the greater of the amount you paid us in the 12 months before the event giving rise to liability or $100. This limitation does not apply where prohibited by law.
16. Indemnification
You will defend and indemnify Berryhill Consulting LLC and its personnel against third-party claims arising from Your Data, your unlawful or unauthorized use, or your breach of these Terms, except to the extent caused by our breach or misconduct.
17. Changes to these Terms
We may update these Terms. We will change the date above and give additional notice of material changes where appropriate. Changes apply prospectively. If you do not agree, stop using the Service.
18. Governing law and disputes
These Terms are governed by the laws of Oklahoma, without regard to conflict-of-laws rules. State and federal courts located in Oklahoma have exclusive jurisdiction, and each party consents to personal jurisdiction and venue there, except where applicable law requires otherwise.
19. General
These Terms and the Privacy Policy are the entire agreement for the Service. If a provision is unenforceable, the remainder survives. Failure to enforce is not a waiver. You may not assign the agreement without our consent; we may assign it with a merger, reorganization, financing or sale of relevant assets. Neither party is liable for delay caused by events beyond reasonable control, except payment obligations.
20. Contact
Questions about these Terms may be sent to support@rekonix.com.
